SWEEPSTAKES DESCRIPTION: The Lincoln Premium Seats Promotion (“Sweepstakes”) begins at 12:00 AM Eastern Time (“ET”) on 6/24/10 and ends at 11:59 PM ET on 9/7/10 (“Sweepstakes Period”). Administrator’s computer is the official time keeping device for the Sweepstakes.

SPONSOR: Ford Motor Company, One American Road, Dearborn, MI 48126.

ADMINISTRATOR: Exposure Marketing & Promotions, Inc., 1000 North Opdyke Rd, Auburn Hills, MI 48326.

ELIGIBILITY: The Sweepstakes is open only to legal residents of the 48 contiguous United States and District of Columbia (“U.S.”) who are 21 years of age or older as of date of entry (“Entrant”). Employees, directors and officers and their immediate families (spouses and parents, in-laws, siblings and children and their respective spouses, regardless of where they reside) and members of the same household, (whether or not related) of Ford Motor Company (“Sponsor”), Team Detroit, Inc., Exposure Marketing & Promotions, Inc. (“Administrator”) and their respective parents, divisions, affiliates, dealers, subsidiaries and advertising and promotion agencies, and companies involved in the implementation and execution of the Sweepstakes (collectively the “Sweepstakes Entities”) are not eligible to enter. Sweepstakes is void in Alaska, Hawaii, Puerto Rico, and U.S. Territories and jurisdictions (including overseas military installations) and where prohibited.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: To enter the Sweepstakes, visit www.lincoln.com/premiumseats (the “Website”) during the Sweepstakes Period, read and accept these Official Rules and follow the instructions to complete and submit the registration form (“Entry”). All registration information requested must be provided. Registrations must be submitted by 11:59 PM ET on 9/7/10. Limit: One (1) Entry per person or email address. Multiple Entrants are not permitted to share the same email address. In the event more than one Sweepstakes Entry is received from any one person or email address, the first Entry processed will be considered the only valid Entry received. Any attempt by an Entrant to obtain more than the stated number of Entries by using multiple or different email addresses or identities will void that Entrant’s Entries and that Entrant may be disqualified. In the event of a dispute, Entries will be deemed made by the authorized account holder of the email address submitted at the time of Entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider, or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Any potential winner may be required to show proof of being the authorized account holder. Use of any automated system to participate is prohibited and will result in disqualification. Entries that are incomplete or corrupted are void. Sweepstakes Entities are not liable for late or misdirected Entries.

WINNER SELECTION: The potential winner will be selected in a random drawing conducted on or about 9/8/10 from among all eligible Entries received. Drawing will be conducted by Administrator, an independent judging organization. Administrator will attempt to contact potential winner by phone. Potential winner must be prepared and able to travel from 9/10/10 – 9/13/10 and must respond by telephone within six (6) hours of the Administrator’s first attempt to contact him/her in order to be eligible to claim the prize. Potential winner must be able to receive calls from a blocked/unlisted number. If potential winner timely responds, Administrator will orally request information from the potential winner to confirm preliminary eligibility, including potential winner’s availability to travel on the specified dates. If potential winner is deemed potentially eligible based on the preliminary questions, Administrator will send an Affidavit of Eligibility and Liability Release and, unless prohibited by law, a Publicity Release form (“Affidavit/Release”) to the potential winner by email or facsimile to be executed and returned by email or facsimile within twenty-four (24) hours from the delivery Administrator’s email or facsimile. If the potential winner cannot be contacted within the specified time after the first attempt to contact him/her, if he/she fails to execute and return the Affidavit/Release within twenty-four (24) hours, if he/she is unable to travel on the specified dates, or if he/she is otherwise ineligible to receive the prize, that potential winner will be deemed ineligible. An alternate will be selected in his/her place from among all eligible remaining Entries and Administrator will attempt to contact and obtain the required Affidavit/Release from that potential winner. The winner’s guest must be 18 years of age or older and will be required to sign a Liability Release and where permitted by law, a Publicity Release prior to issuance of travel documents. Except where prohibited by law, acceptance of prize constitutes permission for Sponsor to use winner’s name, hometown, likeness, statements and other personally identifiable information for promotional, advertising and marketing purposes in any media throughout the world without additional prize, incentive, consideration, consent or review. Potential winner may be subject to a background investigation at Sponsor’s discretion. Sponsor reserves the right to disqualify a potential winner based on their review of the results of the background investigation. If the winner is disqualified for any reason an alternate winner will be selected (as time permits) from among all eligible remaining Entries. Odds of winning depend on the number of eligible Entries received. Limit: One (1) Prize per person or household.

GRAND PRIZE / APPROXIMATE RETAIL VALUE (ARV): One (1) Grand Prize which consists of a Vehicle Prize and a Trip Prize:

Vehicle Prize - Winner’s choice of any one (1) of four (4) Lincoln models – a 2010 MKZ (ARV $34,000), a 2011 MKZ Hybrid (ARV $35,000), a 2011 Lincoln MKX (ARV $38,000), a 2010 MKS (ARV $41,000), or a 2010 MKT (ARV $45,000). Approximate Retail Value (ARV) not to exceed $45,000. ARV’s based on 2010/2011 Manufacturers Suggested Retail Price of a base model Lincoln MKX, MKZ, MKT, or MKS.

Trip Prize - Trip for two (2) to New York City, NY on or about 9/10/10 through 9/13/10. Trip consists of round-trip, coach air travel for two (2) from the major commercial airport nearest winners residence to New York City, NY (or ground transportation if winner resides within a 200-mile radius of New York City), three nights hotel accommodations (room & tax only, based on double occupancy), local ground transportation (between airport/hotel) and $500 on a Gift Card. ARV of trip is $3,500.

Total ARV of Grand Prize could range from $37,500 to $48,500, depending on Winner’s vehicle selection.

PRIZE RESTRICTIONS: Prize Vehicle - Winner is responsible for vehicle registration, license, taxes, title and insurance fees and for all costs associated with any available upgrade/option packages or equipment not provided with prize vehicle and any other expenses related to the acceptance and use of the prize not specified. Winner must take delivery of vehicle within 30 days of notice of availability from Sponsor-selected dealer near winner’s residence or prize may be forfeited. Winner must provide valid U.S. driver's license and evidence of insurance prior to delivery. Vehicle awarded may differ from any vehicle shown in promotional materials. If a Lincoln model is selected with an MSRP of less than $45,000, winner will NOT receive the difference in prize value. By entering, Entrants acknowledge that operating a vehicle can be a dangerous activity and agree to accept all risk and responsibility associated with operating the vehicle. Prize Trip - All expenses and costs related to acceptance and use of the prize trip not expressly listed above, including but not limited to, meals, beverages, taxes and gratuities, are entirely the winner’s responsibility. Gift Card is subject to the terms of Issuer. The winner and guest must travel on the dates specified by Sponsor and must travel on the same itinerary. No refund or compensation will be made in the event of the cancellation or delay of any flight. If a winner is unable or unwilling to travel on the dates specified, the prize will be forfeited and awarded to an alternate. All activities are subject to change and availability. If a winner lives in the vicinity of New York City, NY (in Sponsor's sole opinion) the winner will receive ground transfers in lieu of airfare, and no additional airfare prize will be awarded. If a winner chooses to not take a travel companion, then the travel companion elements will be forfeited and the remaining elements shall constitute full satisfaction of the Prize. All Prizes - Prizes may not be transferred or assigned. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute the prize in whole or in part with another prize of comparable or greater value if the intended prize is not available for any reason as determined by the Sponsor in its sole discretion. Winner will be responsible for all applicable taxes (not limited to federal, state, local and/or income) on prize and will be required to provide his/her Social Security number or tax ID# for tax reporting purposes. Sponsor will file where required an IRS Form 1099 with the Internal Revenue Service for the fair market value of prize.

GENERAL CONDITIONS / RELEASE: By participating, Entrants (a) release Sweepstakes Entities, their respective directors, officers, agents and employees from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by their participation, including the unauthorized or illegal access to personally identifiable or sensitive information or the acceptance, possession, use, or misuse of the prize; and (b) acknowledge that said parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to a prize including, but not limited to the prize quality or availability except for Sponsor and the limited warranty provided with the Prize vehicle. Neither Sweepstakes Entities nor any service providers are responsible for incorrect or inaccurate transcription of Entry information, or for any human or other error, technical malfunctions, lost/delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or Website or to complete a telephone call or facsimile transaction, or any other error or malfunction, or late, lost or misdirected mail, or any injury or damage to participant’s or any other person’s computer or television related to or resulting from participation in this Sweepstakes. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Sweepstakes is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of entrants, technical failures or any other causes which in the opinion of Administrator and/or Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Administrator and/or Sponsor reserves the right at its sole discretion to disqualify any suspect Entry or Entrant and to cancel, terminate, modify or suspend the Sweepstakes. In the event of any cancellation, termination or suspension, notice thereof will be posted at www.lincoln.com/premiumseats and the determination of the winner will be made, from among all eligible, non-suspect Entries received as of the date of the termination, cancellation or suspension, as Administrator and/or Sponsor determines in its sole discretion. Entries not complying with all rules are subject to disqualification.

GOVERNING LAW/JURISDICTION/DISPUTE RESOLUTION: Entrants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan or the appropriate Michigan State Court located in Oakland County, Michigan; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to, claim punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of Michigan.
